RENTAL TERMS – Filmteknik Stockholm AB
Between Filmteknik Stockholm AB, company registration no. 559157-0238, Drabantvägen 38B, 132 47 Saltsjö Boo, Sweden (the “Lessor”), and the “Lessee”, the following terms and conditions shall apply to the rental of equipment (the “Equipment”).


1. General
By signing this agreement, the Lessee confirms that they have read, understood and accepted all terms and conditions herein.
The Lessee must be at least 18 years of age and, when renting on behalf of a legal entity, must be an authorised signatory or hold written authorisation to enter into this agreement on behalf of the legal entity.

2. Ownership
The Equipment shall remain the property of the Lessor throughout the entire rental period. The Lessee is granted only a limited, non-exclusive right to use the Equipment.
The Equipment may not be:
•    sold;
•    pledged or otherwise used as security;
•    transferred;
•    sublet; or
•    otherwise made available to any third party
without the Lessor’s prior written consent.

3. Collection and Return
The Equipment shall be collected from and returned to the Lessor’s premises unless otherwise agreed in writing.
Upon collection, the Lessee must be able to provide valid identification and, where applicable, proof of authority to sign on behalf of a legal entity.
The Lessor reserves the right to refuse release of the Equipment if:
•    the Lessee’s identity cannot be verified;
•    agreed payment conditions have not been fulfilled;
•    the Lessee lacks the necessary competence to use the Equipment; or
•    a credit risk is deemed to exist.
The rental period shall continue until the Equipment has been returned and approved by the Lessor.

4. Rental Period and Rental Charges
Rental fees shall be charged in accordance with the agreed price list.
A rental day is defined as the period from 08:00 to 08:00 the following day, unless otherwise agreed.
For weekly rentals, one week corresponds to four (4) rental days.
In the event of late return, a rental charge equal to twice the daily rental rate shall be charged for each commenced 24-hour period until the Equipment is returned.
Rental charges shall also apply during:
•    repair periods resulting from damage;
•    the period until replacement Equipment has been acquired; and
•    any period during which the Equipment is missing.

5. Booking and Cancellation
A booking becomes binding once it has been confirmed.
In the event of cancellation, the following charges shall apply:
•    50% of the agreed rental fee if cancelled less than 48 hours before the start of the rental period;
•    100% of the agreed rental fee if cancelled less than 24 hours before the start of the rental period.

6. Risk and Responsibility for the Equipment
The Lessee shall be responsible for the Equipment from the time of collection until it has been returned and approved by the Lessor.
This responsibility applies regardless of the cause, including:
•    theft;
•    accident;
•    negligence;
•    force majeure; and
•    actions or omissions by third parties.

7. Condition and Inspection
The Equipment shall be provided in working condition.
The Lessee is responsible for inspecting the Equipment upon receipt. Any defects or deficiencies must be reported to the Lessor immediately.
Failure to report any defect or deficiency shall mean that the Equipment is deemed to have been received in full working order.

8. Use of the Equipment
The Lessee is responsible for ensuring that the Equipment is used:
•    in a professional and competent manner;
•    by suitably qualified personnel; and
•    in accordance with the manufacturer’s specifications and instructions.
The Equipment may not be used:
•    outside Sweden without the Lessor’s prior written approval; or
•    under extreme or hazardous conditions without the Lessor’s prior approval.

9. Damage and Loss
The Lessee shall be fully responsible for any:
•    damage;
•    loss; or
•    theft
of the Equipment during the rental period.
Compensation shall be based on the full current replacement cost, without deduction for age, depreciation or wear and tear.
Rental charges shall continue until the Equipment has been repaired or replaced.
In the event of theft, the Lessee must immediately file a police report and provide a copy to the Lessor upon request.

10. Insurance
The Lessee is responsible for ensuring that the Equipment is fully insured for its full current replacement value.
The Lessee remains liable for all amounts due regardless of the scope, terms or validity of any insurance coverage.
The Lessor’s insurance does not replace or limit the Lessee’s liability under this agreement.

11. Care and Maintenance
The Lessee shall take proper care of the Equipment.
Cleaning required beyond normal use shall be charged at SEK 500 per hour.
Repairs resulting from misuse, improper handling or use contrary to the manufacturer’s instructions shall be charged to the Lessee in full.
   
12. Limitation of Liability
The Lessor shall not be liable for:
•    production losses;
•    production delays;
•    loss of profits;
•    consequential damages;
•    indirect damages; or
•    loss of data.
The Lessor’s total liability shall be limited to the rental fee paid or payable for the rental period in question.

13. Third-Party Liability
The Lessee shall be responsible for any damage or loss caused to third parties as a result of the use of the Equipment.
The Lessee shall indemnify and hold the Lessor harmless from any claims, liabilities, costs or expenses arising from such third-party claims.
    
14. Payment Terms
Payment shall be made in accordance with the invoice within 30 days, unless otherwise agreed.
The Lessor reserves the right to require:
•    advance payment;
•    a security deposit; or
•    other payment security,
in particular in the case of:
•    first-time rentals;
•    foreign customers; or
•    identified credit risk.
The Equipment shall not be released until payment has been received where advance payment has been required.
In the event of late payment, default interest shall be charged in accordance with the Swedish Interest Act (Räntelagen).

15. Termination
The Lessor shall have the right to terminate this agreement with immediate effect in the event of:
•    non-payment;
•    bankruptcy or insolvency;
•    breach of contract; or
•    negligent or improper handling of the Equipment.
The Lessor shall have the right to repossess the Equipment at the Lessee’s expense.

16. Force Majeure
Neither party shall be liable for failure or delay in performing its obligations due to circumstances beyond that party’s reasonable control.
However, the Lessee’s responsibility and liability for the Equipment shall remain unaffected.

17. Governing Law and Dispute Resolution
This agreement shall be governed by and construed in accordance with Swedish law.
Any dispute arising out of or in connection with this agreement shall be settled by the Swedish courts, with Stockholm District Court (Stockholms tingsrätt) as the court of first instance.

18. Miscellaneous
Any amendments or modifications to this agreement must be made in writing.
If any provision of this agreement is held to be invalid or unenforceable, this shall not affect the validity or enforceability of the remaining provisions.
